Data Processing Agreement

1. Overview

This Data Processing Agreement ("Agreement") forms part of the Terms of Service between the customer ("Controller") and ResQWare LLC ("Processor").

This Agreement governs the processing of personal data by ResQWare LLC when providing the ResQEngage software, automation platform, CRM system, messaging tools, integrations, and related services.

By using the Service, the Customer agrees to the terms of this Data Processing Agreement.

2. Roles of the Parties

Customer acts as the Data Controller and determines the purpose and means of processing.

ResQWare LLC acts as the Data Processor and processes personal data only on behalf of the Customer for the purpose of providing the Service.

3. Personal Data

Personal data processed may include, but is not limited to:

• name
• email address
• phone number
• business information
• customer records
• billing information
• communication history
• automation data
• form submissions
• CRM data

The Customer is responsible for ensuring that all data collected and processed through the Service is lawful.

4. Processing of Data

ResQWare LLC will process personal data only:

• to provide the Service
• to maintain system functionality
• to support automation and messaging
• to provide customer support
• to ensure security
• to comply with legal obligations

ResQWare LLC will not use customer data for unrelated purposes.

5. Security Measures

ResQWare LLC uses reasonable technical and organizational safeguards to protect data.

These may include:

• encrypted connections
• access control
• authentication systems
• secure hosting
• monitoring systems
• backup systems

No system can guarantee complete security.

6. Sub-Processors

ResQWare LLC may use third-party providers to operate the Service, including:

• hosting providers
• cloud storage
• email providers
• SMS providers
• payment processors
• analytics tools
• integration services

These providers may process data only as required to deliver the Service.

7. Data Subject Rights

Customer is responsible for responding to requests from data subjects.

ResQWare LLC will assist where reasonably possible.

8. Data Breach

If ResQWare LLC becomes aware of a data breach, we will notify the Customer without unreasonable delay.

9. International Transfers

Data may be processed in the United States or other countries where our service providers operate.

Customer agrees to such transfers when using the Service.

10. Termination

Upon termination of the Service, data may be deleted according to our retention policies.
